1. Purchase Agreement

The client (“Buyer”) desires to purchase research material (“MATERIAL”) from SolPeptide by SolXGenix.com (“we,” “us,” or “our”). The purpose of this Agreement is to define the conditions and restrictions governing the sale and purchase of all MATERIAL. All purchases from SolXGenix are governed exclusively by the following terms and conditions.

2. Research Use Only — No Human or Animal Consumption

All products sold on this website are strictly intended for in vitro laboratory research and scientific investigation only. MATERIAL sold by SolPeptide by SolXGenix.com:

  • Is not intended for human or veterinary use, consumption, injection, or application of any kind.
  • Is not a drug, dietary supplement, food product, or cosmetic as defined under applicable United States law.
  • Has not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any purpose.
  • Is not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.
  • Is not intended for use in clinical, diagnostic, or human research of any kind.

3. Not a Pharmacy or Compounding Facility

SolPeptide by SolXGenix.com is a chemical research material supplier. SolPeptide by SolXGenix.com is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act. SolPeptide by SolXGenix.com is not an outsourcing facility as defined under Section 503B of the Federal Food, Drug, and Cosmetic Act. No prescription is issued, accepted, or processed in connection with any sale on this website.

4. Buyer Eligibility and Representations

By placing an order on this website, the Buyer represents and warrants that:

  • Buyer is at least 21 years of age.
  • Buyer is a qualified researcher, licensed laboratory professional, or institution with the knowledge and facilities to handle research chemicals safely.
  • Buyer has independently reviewed and understands all health, safety, and legal requirements associated with the MATERIAL purchased.
  • Buyer is fully aware of and will comply with all applicable U.S. federal, state, and local laws and regulations governing the purchase, possession, handling, and use of the MATERIAL.
  • Buyer will not resell, repackage, relabel, or distribute MATERIAL to any third party without the prior written approval of SolPeptide by SolXGenix.com.

5. Prohibited Uses

Buyer expressly agrees that MATERIAL purchased from SolPeptide by SolXGenix.com will not be used for:

  • Human or animal consumption, injection, topical application, or any form of in vivo use.
  • Clinical trials, diagnostic purposes, or any human or veterinary medical application.
  • Incorporation into food, drugs, medical devices, or cosmetics for humans or animals.
  • Commercial resale, compounding, or repackaging without express written approval.
  • Any activity that violates applicable U.S. or international law.

6. Regulatory Compliance — TSCA, FDCA, and Other Laws

Buyer acknowledges that some MATERIAL may not appear on the Toxic Substances Control Act (TSCA) inventory. Buyer assumes full responsibility for ensuring that any MATERIAL purchased is approved for use under applicable regulations. Buyer further warrants that MATERIAL produced using SolPeptide by SolXGenix.com products will not be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, and will not be products that may not, under Sections 404, 505, or 512 of the Act, be introduced into interstate commerce.

7. Limitation of Liability and Indemnification

SolPeptide by SolXGenix.com shall not be liable for any special, incidental, consequential, or punitive damages arising from Buyer’s purchase, handling, or use of any MATERIAL, whether Buyer’s claim arises in contract, negligence, strict liability, or otherwise.

In consideration of the sale of MATERIAL to Buyer, which sales SolPeptide by SolXGenix.com would not otherwise make, Buyer agrees to indemnify and hold harmless SolXGenix and its respective officers, employees, and agents from and against all claims, expenses, losses, and liabilities of any nature arising out of Buyer’s handling, use, or misuse of any product sold on this website, whether used alone or in combination with any other substance.

8. No Warranty of Fitness or Safety

SolPeptide by SolXGenix.com warrants that products are supplied at the stated purity level and have undergone third-party analytical testing as described on each product page. SolPeptide by SolXGenix.com makes no other warranties, express or implied, including any warranty of fitness for a particular purpose. Buyer expressly represents that Buyer will properly test and use MATERIAL in accordance with accepted scientific standards and in strict compliance with all applicable laws.

9. Intellectual Property

SolPeptide by SolXGenix.com does not warrant that the use or sale of MATERIAL will not infringe any United States or international patent. The listing of a MATERIAL on this website does not constitute a license to use such MATERIAL in infringement of any patent. The Buyer conveys to SolXGenix the limited, non-transferable right to use the purchased amount of MATERIAL solely for internal research for the benefit of the Buyer.

10. Order Acceptance

Receipt of an electronic order confirmation does not constitute acceptance of an order or an offer to sell. SolPeptide by SolXGenix.com reserves the right to accept, decline, or limit any order at any time, for any reason, including without limitation the right to refuse sales to customers who SolXGenix reasonably believes are not qualified researchers or who may be in violation of this Agreement.

11. Shipping and Export

Buyer warrants that MATERIAL will not be exported outside the United States in violation of U.S. export control laws. International orders are accepted only where permitted by law, and Buyer assumes full responsibility for compliance with the import regulations of their jurisdiction.

12. Payment

All payments are made payable to SolPeptide by SolXGenix.com. A card processing fee may be applied to credit card orders. SolPeptide by SolXGenix.com accepts payment via the methods displayed at checkout. Credit card purchases will appear on Buyer’s bank or card statement as “SOLXGINIX.”

13. Cancellations, Returns, and Refunds

Due to the nature of research chemicals, all sales are final unless the product received differs materially from what was ordered or is defective. Buyer must notify SolPeptide by SolXGenix.com within 7 days of receipt of any claim of defect or incorrect shipment. SolPeptide by SolXGenix.com’s sole liability in such cases is limited to replacement of the MATERIAL or a refund of the purchase price, at SolPeptide by SolXGenix.com’s discretion.

14. Privacy

SolPeptide by SolXGenix.com collects and processes personal information in accordance with our Privacy Policy, which is incorporated herein by reference. By purchasing from this website, Buyer consents to the collection and use of personal data as described in the Privacy Policy.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts of competent jurisdiction located in California. Buyer waives any objection to such jurisdiction and venue.

16. Entire Agreement and Modifications

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings. SolPeptide by SolXGenix.com reserves the right to modify these Terms & Conditions at any time. Changes will be effective upon posting to the website. Continued use of the website after posting of changes constitutes acceptance of the modified terms.

17. Severability

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
